Pursuant to the Honduran Companies Act (in Spanish: “Decreto 73”), a Limited Liability Company (in Spanish: “Sociedad de Responsabilidad Limitada”) must have the following organizational structure:

  1. The Partners Assembly (in Spanish: “Asamblea de Socios”) and a General Manager (in Spanish: “Gerente General”only.
